22.1.3. Planda’s failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right. Nor shall any course of conduct between Planda and its users or any trade practices be deemed to modify any provision of these Terms.
22.2. Continuation of Agreement
22.2.1. In the event of any such deletion or modification as described above, the parties agree to negotiate in good faith to replace the invalid, illegal, or unenforceable provision with a valid and enforceable provision that achieves, to the extent possible, the original intentions and economic objectives of the parties as reflected in the original provision.
22.2.2. The continuation and full force of the remaining provisions of these Terms ensures the uninterrupted provision of Planda’s service to its users, thereby maintaining a consistent and predictable legal framework for both parties.
22.3. Waiver
22.3.1. No waiver by Planda of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Planda to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
22.3.2. Waiver of any breach or failure to enforce any term of these Terms shall not be deemed a waiver of any subsequent breach or right to enforce which may thereafter occur.
23.1. Superseding Effect
23.1.1.
